Agreement

Unified Patent provides web sites, web portals, services, features, and functionalities (collectively, " Services ") on intellectual property data and documents.

These Terms of Use (" Terms ") set forth the legally binding agreement for Your use of the Services. Your access to and use of these Services are conditioned on Your agreement and compliance with these Terms. By accessing or using the Services, You signify that You have read, understood, and agree to be bound by these Terms.

Legal Competence

By Your access to or use of the Services, You affirm that You are at least 13 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in the Terms, and to abide by and comply with the Terms.

Disclaimers

The Services are provided on an " as is " and " as available " basis. We make no express warranties or guarantees about the Services.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM, AS APPLIED TO THE SERVICES, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We make no warranty and disclaim all responsibility and liability for: (a) the completeness, accuracy, availability, timeliness, security, or reliability of the Services; (b) any harm to Your device or computer system, loss of data, or other harm that results from Your access to or use of the Services; (c) the deletion of, or the failure to store or to transmit, any content and other communications maintained by the Services; and (d) whether the Services will meet Your requirements or be available on an uninterrupted, secure, or error-free basis.

Nothing in the Services is intended to be offered as legal advice or counsel, and Unified Patents disclaims any and all liability for decisions taken in reliance of the Services.

The Services may contain links to third-party websites or resources. You acknowledge and agree that We are not responsible or liable for the availability, accuracy, contents of, or services of such websites or resources. Links to such websites or resources do not imply any endorsement by Unified Patents of such websites or resources or the content or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from Your use of any such websites or resources.

Limitation on Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY TRANSACTION CONDUCTED THROUGH OR FACILITATED BY THE SERVICES; (C) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SERVICES; OR (D) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR DATA. THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF UNIFIED PATENTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

Indemnity

You agree to defend, indemnify, and hold harmless Unified Patents and any of its officers, directors, employees, agents, representatives, and any of Unified Patents' subsidiaries and affiliates and their respective officers, directors, employees, agents, and representatives, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) Your use of and access to the Services, including any data or content transmitted or received by You; (b) Your violation of these Terms; (c) Your violation of any third-party right, including without limitation any right of privacy, publicity rights, or intellectual property rights; (d) Your violation of any law, rule, or regulation of the United States or any other country.

Severability

If any provision in these Terms is or becomes illegal, invalid, or unenforceable in any jurisdiction, that shall not affect (a) the validity or enforceability in that jurisdiction of any other provision of these Terms; or (b) the validity or enforceability in other jurisdictions of that or any other provision of these Terms.

Choice of Law

These Terms and any action related thereto will be governed by the laws of the State of California without regard to any principles of conflict of law provisions or Your state or country of residence. All claims, legal proceedings, or litigation arising in connection with the Services will be brought solely in the federal or state courts located in Santa Clara County, California, United States, and You consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.

Entire Agreement

Your or Your legal entity's contract with Unified Patents (" Client Contract "), together with these Terms, and any other ancillary legal notices or rules written by Unified Patents, shall constitute the entire agreement between Unified Patents and You concerning the Services, and supersede all previous oral agreements. Unified Patents reserves, at its sole discretion, the option of offering You additional agreements. In the event of a conflict between these Terms and any other Unified Patents agreement, policy, rule, or notice, the Client Contract shall control, unless expressly stated otherwise.

Revising Agreements

We reserve the right to revise these Terms after providing 14 days notice of such change. Subsequent to such notice, and upon posting of the revised Terms to unifiedpatents.com after 14 or more days, the revised Terms become effective. Your ongoing access to or use of these Services after the revised terms have become effective signifies Your agreement to the revised Terms.

Permitted / Restricted Uses

You are responsible for all activities under Your account, including all legal liability incurred from the use of Your account by You or others. You may not use the Services in any way that: (a) violates or infringes the rights of others including, without limitation, patent, trademark, trade secret, copyright, publicity, or other proprietary rights; (b) is unlawful; (c) impersonates any person, business or entity, including our company and our employees and agents; (d) encourages conduct that would constitute a criminal offense, or that gives rise to civil liability; or (e) violates these Terms, guidelines, or any policy posted on the Services.

You hereby agree that neither You nor any party, person, or computational agent in any way related to You, will automatically extract information from the Services. You further agree not to copy, whether manually or automatically, wholesale portions of the underlying database, system framework, or features.

We grant You a personal, non-exclusive, and non-assignable license to (a) access and use the Services subject to the conditions and limitations of these Terms; and (b) print out discrete information from the Services for internal and personal purposes subject to the conditions and limitations of these Terms, and subject to proprietary rights contained therein, including copyright.

Reserved Rights

Unified Patents has no rights in individual government documents and the sets thereof. Unified Patents does retain all rights to the look and feel of the Services, all derivative data, all data related to or extracted from the documents and facts provided through the Service, and the entirety of the manner of which such data is accessed, displayed, and used. All reservable rights are retained by Unified Patents, both by contract, and under federal and state law.

Privacy

Any information You provide to Unified Patents through the Services is subject to our Privacy Policy. You understand that through Your use of the Services You consent to the collection and use of this information, including the transfer of this information to the United States and/or other countries for storage, processing and use by Unified Patents. Unified Patents™ Privacy Policy is incorporated by reference in these terms.
